Role Overview We are seeking an in-house Legal Counsel to support a U.S.-based cryptocurrency exchange, with primary responsibility for drafting, maintaining, and advising on product terms and conditions, platform terms of use, customer disclosures, and related contractual documentation. The role is modelled after market expectations for legal counsel positions supporting regulated financial, technology, exchange, brokerage, and information services businesses, including responsibilities reflected in the legal and commercial counsel roles at Dow Jones, Robinhood, Interactive Brokers, and Nasdaq. Key Responsibilities Product terms and conditions: Draft, update, and maintain product-specific terms and conditions for spot trading, custody, staking, rewards, fiat on/off ramps, institutional products, APIs, wallet services, token listings, and other crypto exchange offerings. Platform terms of use: Own and periodically refresh the exchange’s standard terms of use, user agreements, risk disclosures, fee disclosures, privacy-adjacent customer notices, account terms, acceptable use rules, and related customer-facing legal documentation. Product legal support: Advise product, engineering, compliance, operations, marketing, customer support, and business teams on legal requirements and contractual risk for new and existing crypto products. Regulatory impact analysis: Evaluate legal and regulatory issues associated with new product launches, product changes, jurisdictional expansions, and user eligibility requirements, including issues involving securities, commodities, money transmission, consumer protection, AML, sanctions, and market integrity. Template governance: Develop and maintain approved templates, fallback clauses, playbooks, review standards, approval matrices, and internal guidance for standard customer terms and product documentation. Risk mitigation: Identify legal, regulatory, operational, and customer-facing risks in product terms and recommend practical, business-oriented mitigations. Cross-functional collaboration: Partner with compliance, AML, sanctions, fraud, cybersecurity, finance, tax, product, engineering, and customer operations teams to ensure terms accurately reflect product functionality, controls, and regulatory commitments. Customer communications: Review disclosures, help center content, product FAQs, marketing claims, user notices, and customer communications for consistency with governing terms and applicable legal requirements. Regulatory change management: Monitor relevant U.S. legal and regulatory developments affecting digital assets, exchanges, broker-dealers, money services businesses, commodities, stablecoins, staking, custody, sanctions, and consumer disclosures. Dispute and escalation support: Support customer disputes, regulatory inquiries, enforcement-related requests, and litigation matters involving platform terms, product disclosures, account restrictions, trading activity, custody, or customer eligibility. Training and enablement: Provide practical training and guidance to business, product, and support teams on legal terms, customer commitments, approval processes, and risk escalation. Qualifications J.D. from an accredited U.S. law school and membership in good standing with at least one U.S. state bar. Approximately 3 to 5 years of relevant legal experience, ideally including law firm, in-house, regulatory agency, fintech, crypto, broker-dealer, exchange, payments, banking, commodities, securities, or financial technology experience. Strong drafting experience with online terms of use, product terms, financial services agreements, customer disclosures, commercial terms, platform policies, or regulated product documentation. Familiarity with U.S. regulatory frameworks relevant to crypto and financial services, including SEC, CFTC, FinCEN, OFAC, state money transmission, consumer protection, and market conduct considerations. Ability to translate complex legal and regulatory requirements into clear, user-facing terms and practical internal guidance. Strong judgment, attention to detail, and ability to manage multiple time-sensitive product launches and legal reviews. Excellent written and verbal communication skills, with the ability to advise senior stakeholders and cross-functional teams. Business-oriented mindset with the ability to balance legal risk, customer clarity, regulatory expectations, and product velocity. Preferred Qualifications Prior experience at a cryptocurrency exchange, fintech platform, broker-dealer, futures commission merchant, securities exchange, trading platform, payments company, or digital asset custodian. Experience in AI legal contract reviews and drafting Experience drafting or maintaining consumer or institutional crypto trading terms, custody terms, staking terms, API terms, token listing disclosures, market data terms, or platform risk disclosures. Experience working with compliance, AML, sanctions, fraud, cybersecurity, and engineering teams. Experience creating legal playbooks, clause libraries, customer disclosure frameworks, and product launch review processes. Familiarity with enforcement trends and regulatory expectations affecting U.S. crypto platforms.
